  • We offer you an interview and/or a meeting to gather all the necessary information to analyze your request.
  • We will send you a personalized technical and commercial proposal along with the quote.

What is stated in the Technical and Commercial Proposal?

 

  • A personalized analysis of your situation, your needs, your requests
  • A precise description of the services offered
  • The time required to complete the services, with a detailed projected schedule.

What does the quote say?

  • By signature of the Client: electronic or handwritten.

Are these general terms and conditions applicable? Yes, but the Technical and Commercial Proposal and the Quote take precedence over these General Terms and Conditions
What happens next? We will send you a confirmation email.

 

Can Green Score Capital refuse a service order?
Principle Green Score Capital cannot refuse your order.
Exceptions

Green Score Capital may refuse your order if:

  • You are engaged in a business that competes with that of Green Score Capital,
  • You are or have been in dispute with Green Score Capital.

 

3.2. IS IT POSSIBLE TO WITHDRAW?

 Yes, only for customers who have
  • fewer than 5 employees et
  • a main activity different from the purpose of this contract, namely:
  • Environmental impact assessment
  • Consulting and training related to sustainable development/the environment

[Article L221-3 of the Consumer Code]

What is the withdrawal period? 14 days after the conclusion of the contract, namely: after receipt of the signed quote and validation of the order by Green Score Capital
How to retract? Send a cancellation email to:valerie@greenscorecapital.com
What happens if you withdraw before the Services begin to be performed?
  • Green Score Capital does not perform the Services
  • You do not pay any amount
  • Green Score Capital will reimburse any payments you have made no later than 14 days from the date of receipt of your email informing you of your decision to withdraw. [articles Articles L221-18 to L221-28 of the Consumer Code]
If you wish the Services to begin before the expiry of the withdrawal period
  • You must make an explicit request by email to: valerie@greenscorecapital.com 
  • The execution of the ordered services can begin.
  • You can still withdraw within 14 days from the conclusion of the contract.
What happens if you withdraw after the Services have begun to be performed?
  • Green Score Capital is ceasing the execution of the Services
  • You pay an amount corresponding to the Services provided up to your decision to withdraw, an amount proportional to the total agreed price.

3.3. PRICE AND PAYMENT METHOD

Price
  • Price fixed excluding tax + applicable VAT
  • Based on technical and commercial proposal and personalized quote
  • In case of contradiction between the Technical-Commercial Proposal and the Quote, the price set by the Quote shall prevail.
Billing
  • An invoice sent by email
  • The invoice will include the information referred to in Article L441-9 of the Commercial Code.
Payment
  • A 30% deposit of the total price is required at the time of ordering.
  • The balance of the price is due upon receipt of the invoice or according to the terms specified in the quote.
How to pay?
  • By bank transfer
  • By bank check

 

3.4. WHAT ARE THE CLIENT’S OBLIGATIONS?

The Customer must Sanctions
Pay your bill without delay  Late payment penalties amounting to three times the legal interest rate stipulated in Article L 441-10, paragraph 5 of the Commercial Code
 Recovery fees of 40 euros per invoice paid late as provided for in article D.441-5 of the Commercial Code.
Suspension of service delivery until the situation is resolved Contract termination if the situation is not rectified 30 days after notification of a formal notice to the Client
To provide Green Score Capital with any information and/or document enabling it to propose an offer tailored to its needs and to execute the Services ordered under the best conditions.

3.5. WHAT ARE GREEN SCORE CAPITAL’S OBLIGATIONS?

Green Score Capital must:
Perform the Services in compliance
  • regulations,
  • third-party rights
  • of these CGS.
To implement all means at its disposal to perform the Services
  • Respect the execution deadlines set in the Technical and Commercial Proposal and the Quote.
  • The locations for the performance of the Services may be at Green Score’s premises, at the Client’s premises, or via the Internet. These are determined by Green Score Capital.
  • Ensuring Data Confidentiality
  • To ensure compliance with these General Terms and Conditions by its employees, corporate officers, interns and subcontractors
  • The execution times are indicative only and any delays to these times cannot give rise to any deductions or compensation.

 

Compensating Customers
Generating fact In the event of non-compliance with the General Terms and Conditions by Green Score Capital.
Dommage Seul le dommage direct du Client résultant du non respect des CGS.
Maximum compensation Compensation equal to the price paid.

 

Limitations of liability and warranty

Green Score Capital is not responsible:

For any indirect damage, for example:

  • loss of customers,
  • commercial damage,
  • loss of revenue.

 

 

3.6. SUSPENSION AND TERMINATION OF THE CONTRACT

3.7. INTELLECTUAL PROPERTY

Green Score Capital is and remains the sole owner of the IP Assets, including:

 Training materials;

  • You must not share them with third parties.
  • You can only use them for internal purposes.
  • Documentation
  • Graphic elements
  • Brands
  • Software

 

 

3.8. CONFIDENTIALITY

 ARE CONFIDENTIAL

 

  • Documentation and training materials,
  • information transmitted by a Party with the mention “confidential”.
WHO IS LIABLE?

✔ The Party receiving the confidential information.

✔ its employees, collaborators, corporate officers, shareholders, subcontractors and business partners

WHO IS THE BENEFICIARY? ✔ The Party that sends the confidential information.
HOW TO GUARANTEE CONFIDENTIALITY?

✔ do not transmit Confidential Information to third parties

✔ use the Confidential Information only to perform this Contract.

✔ to technically protect the confidentiality of confidential information.

HOW LONG ?
  • during the Contract.
  • 3 years after the end of the Contract.
WHAT TO DO IN CASE OF A BREACH OF CONFIDENTIALITY?
  • Send a formal notice by notification.
  • In case of emergency, initiate proceedings before the President of the Commercial Court of Montpellier.
  • In case of harm, contact a mediator.
WHAT CAN YOU DISCLOSE?
  • the information that has become public.
  • information already known before the conclusion of the Contract.
  • information that the law or a judge requires to be disclosed.

 

3.9. PERSONAL DATA

Green Score Capital is the Data Controller for Clients’ Personal Data. The rules for the protection of personal data are defined in our Privacy Policy.

Green Score Capital takes appropriate measures to ensure the protection and confidentiality of the personal information it holds, will hold, or processes, in accordance with the provisions of French Law No. 78-17 of January 6, 1978, which includes the General Data Protection Regulation (GDPR), concerning information technology and civil liberties.

The personal data requested from the Client is necessary for the performance of the Contract and the issuance of invoices, among other things.

In accordance with applicable national and European regulations, the Client has a permanent right to access, modify, rectify, and object to information concerning them.

3.10. MISCELLANEOUS

Subcontracting Green Score Capital may freely use subcontractors to perform the Services.
Commercial and technical reference
  • Green Score Capital may cite the Client and display its logo as a reference in its commercial communication.
  • The Client is invited to cite Green Score Capital and display its logo as a reference in its commercial communication.
Independence of the Parties
  • The Parties are independent professional partners.
  • They each assume their own risks.

 

Cooperation of the Parties

  • The Parties shall inform each other of any difficulties as soon as possible.
  • The Parties are available for the proper execution of the Contract.
  • The Parties are still trying to find amicable solutions.
  • The Parties are behaving honestly towards each other.
Non-solicitation of staff During this Contract, each party is prohibited from recruiting employees or collaborators of the other party.
Tolerance The Contract is not modified by tolerating a breach by one Party.
Nullity If part of the General Terms and Conditions are cancelled, the rest of the General Terms and Conditions remain applicable.
Applicable law French law.
competent jurisdiction The courts of the City of Toulon.

 

DISPUTES

What to do in case of a dispute?
  • In case of emergency, initiate proceedings before the President of the Commercial Court of Toulon.
  • In all other cases: mediation.
How to choose a mediator?
  • If possible, reach an agreement with the other party.
  • Otherwise, ask the President of the Toulon Commercial Court to appoint him.
Has the mediation failed? Initiate proceedings before the competent court in the City of Toulon.

 

Appendix 1 – Definitions

 

Appendix: element of the Contract appearing in the appendix to the General Terms and Conditions

IP assets: refers to all intellectual property rights and all applications for protection of intellectual property rights, such as patents, trademarks, designs and models, software, copyrights and all materialized intellectual property interests, such as the Soleau envelope or secret know-how.

Customer : Legal or natural person who enters into a Contract. Clients are necessarily persons carrying out professional activities established in France or abroad.

Special conditions: Information contained in the Technical and Commercial Proposal and the Quote or a specific contract concluded between the parties. The specific conditions prevail over these General Terms and Conditions of Service and Use.

CONTRACT : a set formed by the Special Conditions (Technical-commercial proposal, Quote or specific contract) and these General Terms and Conditions.

Estimate : This contractual document specifies the essential and customized characteristics of the services offered by Green Score Capital to the Client. It details, in particular: the price and payment terms, and any specific conditions agreed upon between the Client and Green Score Capital. The Quote supplements the Technical and Commercial Proposal and takes precedence over these General Terms and Conditions of Service and Use. In the event of any discrepancy between the Technical and Commercial Proposal and the Quote regarding price, the Quote shall prevail.

Documentation: Description of the services provided by Green Score Capital on all media.

Personal Data: refers to any information relating directly or indirectly to a natural person (name, identification number, location data, online identifier, etc.)

DPO : “Data Protection Officer”; natural or legal person in charge of the protection of personal data at Green Score Capital.

Force majeure: the following are considered cases of force majeure within the meaning of Article 1218 of the Civil Code:

  • cases usually recognized as such by French jurisprudence,
  • total or partial strikes, whether internal or external to each Party, if it has been unable to prevent them,
  • severe weather, earthquakes, fires, storms, floods, water damage
  • epidemics,
  • telecommunications blockages,
  • blockages of means of transport or supply.

Confidential Information: refers to information that is confidential to one Party and must be disclosed to the other Party for the performance of the Contract.

Public holidays:January 1st, Easter Day, May 1st, May 8th, Ascension Day, Pentecost Day, July 14th, August 15th, November 1st, November 11th and December 25th of each year.

Notification :letter sent by one Party to the other Party:

  • either by electronic registered letter with acknowledgement of receipt,
  • or by registered letter with request for acknowledgement of receipt,
  • or by letter delivered in person against receipt.

When a Notification is provided for in the General Terms and Conditions, in the case of sending by registered letter with acknowledgment of receipt:

  • The time limits begin from the first presentation of the letter;
  • it is the date of dispatch that is the reference for the termination of the Contract.

Parties: the Client and/or Green Score Capital

Privacy Policy: Rules for the processing and protection of Green Score Capital’s personal data.

Technical and Commercial Proposal: A contractual document that specifies the essential and customized characteristics of the services offered by Green Score Capital to the Client. It details, in particular: the needs analysis, the proposed methodology, the objectives, the price, the time required for execution with a projected schedule, and any specific conditions agreed upon between the Client and Green Score Capital. The Technical and Commercial Proposal is supplemented by the Quote and takes precedence over these General Terms and Conditions of Service and Use. In the event of any discrepancy between the Technical and Commercial Proposal and the Quote regarding price, the Quote shall prevail.

Data Controller: refers to the legal entity which, alone or jointly with others, determines the purposes and means of processing Personal Data.

Services: Audit and/or consulting and/or training services offered by Green Score Capital and subject to these General Terms and Conditions of Sale.

VAT: Value Added Tax payable by the Customer.

Processing of Personal Data: refers to any operation, or set of operations, performed on Personal Data, regardless of the method used (collection, recording, organization, storage, adaptation, alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, erasure or destruction, etc.).
